1. Agreement to Terms

By accessing or using PassNaati ("the Service"), operated by Tatwam Ventures, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

PassNaati is an AI-powered NAATI CCL test preparation platform designed to help candidates prepare for the NAATI Credentialed Community Language test.

2. Use of Service

Eligibility

You must be at least 16 years old to use PassNaati. By using the Service, you represent and warrant that you meet this age requirement.

Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Share your account with others or allow multiple people to access a single account
• Attempt to copy, reproduce, or distribute our practice materials without permission
• Use automated systems or software to extract data from the Service
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service
• Harass, abuse, or harm other users
• Violate any applicable laws or regulations

3. Subscription and Payment

Subscription Plans

PassNaati offers both free and paid subscription plans:

• Free Demo: 3 AI-scored practice dialogues to try the platform
• Pro Plan ($99/month): Unlimited practice sessions with full access to all features including mock exams, vocabulary builder, and progress analytics

Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All payments are processed securely through Stripe
• Prices are in Australian Dollars (AUD) unless otherwise specified
• We reserve the right to change subscription prices with 30 days notice

Refunds

We offer a 3-day free trial for new Pro subscriptions. You can cancel anytime during the trial period without any charges. After the trial period, subscription fees are non-refundable.

Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to Pro features until the end of your current billing period.

4. Intellectual Property

Our Content

All content on PassNaati, including but not limited to practice dialogues, study materials, software, design, graphics, and text, is the property of PassNaati and is protected by copyright and other intellectual property laws.

Your Content

You retain ownership of any content you submit to the Service, including audio recordings and practice responses. By submitting content, you grant PassNaati a worldwide, non-exclusive, royalty-free license to use, process, and store your content for the purpose of providing and improving our services.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by PassNaati without any obligation to compensate you.

5. AI Services and Accuracy

PassNaati uses artificial intelligence technologies including:

• OpenAI Whisper for speech-to-text transcription
• GPT-4 for scoring and feedback generation

Important: While our AI provides valuable practice and feedback, it is not a replacement for official NAATI testing. We do not guarantee specific test outcomes or that our scoring perfectly matches official NAATI scoring criteria.

6. Disclaimers

No Guarantee of Results

While PassNaati is designed to help you prepare for the NAATI CCL test, we do not guarantee that you will pass the test or achieve any specific score. Success depends on many factors including your individual effort and ability.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience technical issues that temporarily affect availability.

Third-Party Services

PassNaati integrates with third-party services. We are not responsible for the availability or accuracy of these external services.

7. Limitation of Liability

To the maximum extent permitted by law, PassNaati shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or information
• Failure to pass the NAATI CCL test
• Any damages arising from your use or inability to use the Service

Our total liability shall not exceed the amount you paid to PassNaati in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless PassNaati, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content submitted to the Service

9. Termination

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent or illegal activity
• Abuse of the Service
• Non-payment of fees

Upon termination, your right to use the Service will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or as otherwise agreed by the parties.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised terms.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms constitute the entire agreement between you and PassNaati regarding the use of the Service, superseding any prior agreements.
